Position Overview

Nektar Therapeutics has an exciting opportunity for a Corporate Counsel to join our Legal team.

Advises on general legal matters pertaining to the Company across all sites. Provides a variety of general corporate and commercial legal services to a number of in-house clients. Acts as advisor on issues involving the organization's legal and regulatory compliance. Advises organization on appropriate legal action to be taken in view of contractual rights and obligations and other legal requirements. Demonstrates extensive experience in broad range of general commercial transactional matters in the life sciences (pharmaceutical, biotech, drug delivery, and medical devices) industry, both foreign and domestic, including but not limited to drafting and negotiating research and development agreements, clinical research agreements, license agreements, and manufacturing and supply agreements without significant supervision. Knowledgeable in intellectual property law and FDA and European regulatory matters. Experienced in mergers and acquisitions (products, businesses, companies) including conducting due diligence.

Exercises independent judgment in methods, techniques and evaluation criteria for obtaining results. Contacts pertain to significant matters often involving coordination among groups. Acts independently to determine methods and procedures on new or special assignments. Provides legal support for Business Development and Corporate Development activities of the Company and its subsidiaries. Coordinates with subsidiary management and in-house and outside counsel in the handling of significant transactional, Intellectual Property, compliance and other material matters. Establishes effective and efficient processes for meeting all legal, contractual and compliance requirements. Drives the negotiations of transactional matters in furtherance of Business Development and Corporate Development activities, such as collaborative development agreements, strategic alliances, licensing, manufacturing and supply agreements and other domestic and international partnering contracts. Coordinates with the Intellectual Property department to ensure that negotiated documents are sufficiently protective of Company IP, including support for efforts to establish procedures within the Company to protect its IP in the U.S. and abroad. Coordinates with the Finance department to ensure that negotiated documents meet Company's financial requirements. Coordinates with other departments within Company (regulatory, manufacturing, quality, program management) to ensure that negotiated documents meet Company's requirements in these areas. Ensures all negotiated documents provide for compliance with applicable legal and regulatory requirements including FDA, EPA, OSHA and other federal and state laws and regulations. Provides legal and business counsel to Company and subsidiary management teams. Leads on other projects as assigned. May supervise the activities of other junior legal staff.

A JD degree and license to practice in the state of California is required. An undergraduate degree in a business or related scientific field is a plus. A minimum of 10 years legal experience required with major law firm experience, and a portion of which was in house, at one or more life sciences companies, in positions of increasing responsibility which suggests a broad business and legal acumen is required. Equivalent experience may be accepted. A minimum of 5 years experience drafting and negotiating complex life sciences agreements without significant supervision, including clinical research agreements, supply and manufacturing contracts, research and development contracts, licensing contracts, strategic alliance agreements is required. Strong understanding of and experience with issues surrounding the business needs of life sciences companies including regulatory requirements, intellectual property, partnering activities and joint development are required. Must have experience in working with management in developing and managing complex business relationships, including structuring deals. Experience in working on complex business relationships and related transactions where critical thinking in terms of strategy, tactics and coordination are required. Excellent analytical and problem solving skills. Excellent communication skills both oral and written, including strong drafting and negotiation skills are required. Demonstrated ability to work effectively individually as well as in teams.
