Job Details

Amgen is seeking transactional attorney who thrives in a high-performing and collaborative environment.

This Senior Counsel will be part of a legal team that supports Amgen's Business Development group in a variety of life sciences transactions, including mergers and acquisitions, divestitures, collaborations, and in-licenses and out-licenses involving biotech and pharmaceutical products and technology, while working closely with other Amgen functional groups (R&D, Finance, Operations, Commercial), and coordinating with various members of the Law Department. This position may also provide support for equity investments by Amgen's venture fund and ongoing alliances with Amgen's key partners.

Basic Qualifications

J.D. degree or LL.M. degree from an ABA accredited law school, admission to practice law in a U.S. jurisdiction and four (4) years of experience practicing law.

Preferred Qualifications

7+ years of law firm or in-house experience

Experience with a Fortune 500 corporation (preferably in the biotechnology or pharmaceutical industry), or a nationally recognized law firm

Significant experience advising on, drafting and negotiating complex licensing and partnering agreements and/or corporate transactions, such as M&A transactions, with a strong preference for biotechnology industry or pharmaceutical industry transactions experience

Specific Responsibilities May Include:

Draft and negotiate complex licensing agreements and collaboration agreements

Draft and negotiate a wide range of contracts typical for the life sciences industry, including simple license agreements, research agreements, development and supply agreements

Draft and negotiate stock purchase agreements, investor rights agreements and other agreements ancillary to investments in private companies

Serve as in-house lead for M&A transactions, coordinating with internal stakeholders, outside counsel and advisors and opposing counsel.

Provide legal advice and support for existing alliances and partnerships

Advise internal client groups and senior management on contract interpretation, dispute resolution, IP ownership, product registration, legal issues related to the development, marketing and distribution of pharmaceutical products, corporate governance and other legal risks

Advise junior attorneys and contract specialists on the preparation, negotiation and execution of more routine documents and agreements

Work with the Business Development team and other departments within the company to conduct and coordinate due diligence efforts with strategic investments, licensing and M&A transactions.

Demonstrated ability to be a self-starter, to develop and implement strategic solutions to challenging problems and effectively drive issues to closure and to participate in a highly collaborative, team-oriented environment
