Senior Counsel

Overview

As a senior member of the legal team, the Senior Counsel will provide advice and assistance to Dynavax management and employees with respect to a broad variety of business and legal matters, including complex contracting, corporate governance, securities, and human resources legal support. The position is a great opportunity for an attorney with a solid core base of experience who is interested in broadening his/her scope of responsibility. The position will be based in Emeryville, California at corporate headquarters.

Responsibilities

• Provide day-to-day legal services and strategic input to the company on a broad variety of issues.
• Advise all Dynavax organizations on complex contracting. Advise and assist with corporate governance, securities, and human resources legal support.
• Provide legal support across the organization, including identifying practical solutions that balance the risk/benefit for the company.
• Assist with developing, implementing and improving processes and systems to increase the efficiency of the legal department.
• Support the organization in maintaining a work environment that is focused on quality and fosters learning, respect, open communication, collaboration, integration and teamwork.
• Function independently as primary reviewer and advisor regarding a broad variety of contracts to ensure terms and conditions reflect the companys business need and are in compliance with applicable legal requirements.
• Provide legal support across the organization, including identifying practical solutions that balance the risk/benefit for the company.
• Work with General Counsel and other members of the Legal Team to support the business in other substantive areas, as needed.
• Manage outside counsel as required.
• Other duties as assigned.

Qualifications

• JD, and be a member in good standing of the California bar or eligible to be registered as In-House Counsel with the California bar.
• 3+ years of foundational training as an attorney at a law firm.
• 8+ years of complex contracting experience.
• Excellent business acumen and an understanding of how to negotiate effectively with entities of various types and sizes.
• Team player someone who is solution oriented and collaborative. Able to work effectively with business and legal colleagues.
• Hands-on and willingness to review contracts and do negotiation rather than managing others.
• Ability to multi-task, work quickly and balance competing priorities effectively.
• Exceptional written, interpersonal and communication skills.
• Ability to lead as well as collaborate in a team environment.
• Must be able to work effectively and influence functional units at all levels in the organization as well as external parties.
• Provides sound judgement and excellent decision-making skills.
• Experience in the biopharmaceutical or medical device industry, as in-house counsel and/or with a law firm a plus.
