VICE PRESIDENT, CORPORATE LAW

Position Summary:

Global Blood Therapeutics (GBT) seeks a seasoned attorney to serve as the Company's Vice President, Corporate Law. This position will serve as the lead attorney for all securities and corporate legal work. This position will also lead and manage our contracts team and negotiate complex contracts. This position will report to the Chief Legal Officer (CLO) and will work collaboratively with the legal team and stakeholders across the organization. This position will manage outside counsel, legal vendors and budgets.

Essential Duties and Responsibilities:
  • Serves as lead attorney and strategic legal business partner to GBT for all securities and corporate governance work, including:
    • All SEC disclosures/filings,
    • Potential financing transactions,
    • Compliance with laws and regulations (including Sarbanes-Oxley),
    • Compliance with company corporate policies (e.g., code of conduct, insider trading, FCPA etc.), including training.
  • Supports and coordinates with the CLO and other senior executives on Board/committee meetings and advises on corporate governance and defenses.
  • Supports GBT's contracting needs across the Company, including by:
    • Directing and managing GBT's legal contracts team, which currently consists of a Corporate Counsel and a Contracts Manager,
    • Overseeing and managing GBT's contracts management system and vendors, and
    • Advising and negotiating complex contracts for Company operations (specifics depend on candidate skill sets).
  • Serves as the go-to legal resource for designated functions within GBT, including the G&A teams.
  • Works collaboratively with senior legal colleagues (CLO, VP Commercial Product Law and VP IP) and key functions across GBT.
  • Maintains a strong working knowledge of applicable laws, regulations, and trends to identify and manage emerging risks and opportunities.
  • Manages outside corporate counsel, other legal counsel and vendors, and associated budgets. Manages outside counsel to achieve timely and cost-effective work.
  • Works collaboratively and creatively with stakeholders and provides a broad spectrum of high-quality legal advice and day-to-day counseling. Clearly and effectively renders practical, timely legal advice.
  • Performs special projects as assigned and demonstrates leadership ability on a wide range of issues.


Qualifications:
  • J.D. from an accredited law school; licensed in good standing with CA state bar strongly preferred.
  • 10+ years of relevant legal experience including at least 5 years at a late-stage R&D or commercial stage pharmaceutical or biotechnology company.
  • Broad knowledge of and significant legal experience counselling with respect to securities, corporate, governance and contract/transactional matters. Experience supporting pre-launch and launch activities for bio-pharmaceutical.
  • Experience drafting and negotiating a wide range of biopharma-related contracts. GBT's contracts span multiple areas of operations, including transactional/business development, research, development/clinical, manufacturing, IT and commercial.
  • Proven ability to think strategically about achieving corporate objectives by addressing the needs of internal and external stakeholders.
  • Skilled at integrating legal advice with business acumen and sound judgment.
  • Able to serve as a strong business partner, collaborator and project manager.
  • Skilled at advising senior management.
  • Skilled at managing outside counsel.
  • Strong client service orientation and business acumen.
  • Excellent communication, negotiation, problem-solving, and analytical skills.
