Summary:

As a member of the Transactions Law Group in the Law Department, this contracts professional will serve as the administrator for the current electronic contract life cycle management system (CLM) managed by the Contracts Group and will provide oversight and support for the transition in 2019 to a new CLM, including responsibility for implementation and launch of the new CLM system, as well as subsequently serving as the administrator for the new CLM system. The contracts professional will also provide operations support for the Contracts Group and its contract process enhancement efforts.

Responsibilities:

• Serve as project lead for the implementation of the new CLM project.

• Function as lead of the project, overseeing the successful completion of the implementation and launch of new CLM.

• Act as liaison and ensure alignment to facilitate the implementation as to configuration, test and migration of the CLM system, as well as associated communications and training materials development and rollout, among the users, the Contracts Group, Strategic Sourcing and Procurement, the vendor and the implementation partners.

• Develop, review and implement solutions needed for implementation and ongoing functionality of CLM at the operational level to ensure the optimal solution is implemented and maintained.

• Assess and provide direction, guidance, and leadership, as needed to projects, processes, remediation efforts and other critical business needs associated with CLM, including the development of an enterprise CLM vision, objectives, strategies, and metrics for future phases.

• Ensure alignment within the Contracts Group on the CLM approach; identify issues, facilitate and drive solutions in support of the project's objectives.

• Ensure that quality and timeliness of deliverables for assigned tasks are met.

• Serve as ongoing manager of the CLM and liaison between the user population of the current and new CLM and the vendor and perform the following tasks on a daily and/or weekly basis:

- System issue reporting, tracking and resolution (e.g., performance issues, errors during contract creation).
- Internal user support (how-to's, errors) for contract authors and contract requesters.
- Implementing systems enhancement and changes, including request portal changes, logging and tracking capabilities, user-interface, etc.
- Signatory delegation tracking.
- Reporting (e.g., development and generation of monthly contract request and completion metrics).
- Data QC - reporting and maintenance (e.g., contract linking, status cleanup)
- Finalize and maintain system to alert clients to key contract dates (e.g. renewal, expiration, etc.).
- Development of training materials (e.g., training for requesters, contract type glossaries and other guidance) and conducting training sessions on an ongoing basis.
- Preparing, maintaining and revising process guides and procedures (e.g., contract request, contract routing and processing workflow).

• Manage templates and develop clause library within CLM

• Draft and review on an as needed basis various business contracts in a range of areas within guidelines provided by attorneys.

• Draft and review with attorney oversight software licenses and SaaS agreements including meeting with business owners and IT on prospective applications to gather information regarding the software, data and use.

• Support the Contracts Groups operations, including all systems and technology related needs and its process enhancement efforts, including template development, development of playbooks, training initiatives, intake tool development and resource sharing.

• Proactively follow up with clients, attorneys and external parties from the time the contracting request is received through resolution and execution to ensure shortest cycle times.

• Any other projects as assigned by supervisor.
Requirements:

• Bachelor's degree

• 6 + years' experience in systems administration, preferably with contracts management systems experience

• Significant knowledge of electronic contract management systems

• Experience with computer systems error resolution, configuration and coding strongly preferred

• Experience as a paralegal or other legal professional or in a contracts-related role preferred

• Experience in the biotechnology or pharmaceutical industry preferred.

• Good knowledge of general contracts procedures, as well as the regulatory, commercial and legal landscape related to contracts.

• Ability to identify and resolve technical, operational and organizational problems/problems relating to the role and to serve as an escalation point for technical challenges

• Strong oral and written communication skills and interpersonal and conflict resolution skills

• Ability to work independently, while meeting aggressive deadlines and juggling multiple matters

• Ability to maintain an independent and objective perspective while developing and maintaining a strong partnership with internal client organizations

• Ability to work effectively and professionally with colleagues and clients at all levels of the organization and in a collaborative, team-oriented environment
