Job Summary

This is a legal generalist role that involves managing and supporting projects and processes across a wide range of Legal Department activities and responsibilities. This individual will work closely with the General Counsel and the other attorneys, as well as business people and the Finance Department, to support the activity of the Legal Department and also to create processes and practices that improve the delivery of those services and the effectiveness of the Legal team.

REQUIRED COMPETENCIES

This individual must be business-minded and strategic, recognizing the value of efficiencies and the role of the Legal Department in achieving Ipsen's business objectives. The individual must be highly motivated, detail-oriented, and proactive in identifying areas of need and generating action plans. This individual must be able to handle multiple projects and deadlines, operating independently and with sound judgement. Accuracy in work product and excellent communication skills across a wide range of subject matters and with numerous stakeholders are essential. Experience in budget management is required, including the ability to adapt to Ipsen Finance Department requirements and to report accurately throughout the fiscal year regarding Legal Department accruals and spend. The ability to analyze Legal Department financial data and make recommendations is required.

Contracts Management including Commercial Contracting, and Contracting for Clinical Studies & HCP Engagements

• Negotiates and drafts contracts and amendments to support Company's commercial activities, HCP engagements, and clinical activities. Collaborates with business owners and other stakeholders in negotiation process
• Participates in issuance of and/or management of solicitations (RFP, bidding, etc.) Partners with Procurement Department in vendor selection and contracting
• Works closely with attorneys to ensure that all contracting processes are compliant with Company's contracting & internal policies
• Develops policies and processes for more efficient contract management operations, and in coordination with Corporate Office as appropriate
• Ensures the maintenance of contracts and contract-related information in the Company's contracts database.
• Develops and maintains a contracts dashboard with key contracting metrics and contract life cycle management system
• Manages & audits performance and use of company's contract management tool (iCAP).
• Serves as primary NA contracting database contact for parent company and primary trainer & Help Desk contact for use of iCAP system for employees of all North American Affiliates

Management of State Drug Distribution Licensing & Corporate Qualifications; handles all Commerce and Census Bureau Reporting, main contact for agency inquiries

• Provides continuous oversight and management of licensing activities for all North American sites
• Works with Company, Outside Counsel and vendors to ensure that Company's state drug distribution licensing programs are in full compliance with applicable regulations and laws
• Collects and retains all Company profile information. Keeps up-to-date on Company information and changes applicable to new license applications, renewals and other licensing changes, maintains awareness of all programs and new initiatives for appropriate reporting
• Manages licensing vendors to ensure that vendor deliverables are on-time and 100% accurate
• Functions as subject matter expert on all State Drug Distribution Licensing and Corporate Qualification issues

Responsible for Corporate Governance for All North American Affiliates

• Drafts all corporate records (Board Consents, Resolutions, etc.) and other documentation related to compliance with Company by laws and ensures their execution and archiving in a timely manner
• Prepares and communicates internally on Ipsen Signing Authority Policy and all Delegations of Signing Authority
• Ensures that all appropriate policies are in place, and that appropriate controls are in place and respected
• Provides Corporate Secretary Support

Partner with Compliance Department on Third Party Compliance Program

• Ensures that all vendors meet minimum standards established by company policies
• Works with vendors and company employees to document qualifications of new vendors.

Manages Legal Department Budget
• Works with General Counsel on all annual and periodic budget proposals, reports and revisions
• Works with Finance Department on monthly accruals and invoice management
• Manages the year-end process of closing budget on target by identifying and managing all open spend throughout the fiscal year
• Prepares all requisite reports to General Counsel and Finance Department

Legal Department Work Flow
• Identifies best practices and leads strategic initiatives to support business growth with legal matter tracking and other tools
• Develops and implements various process improvements to maximize and leverage Legal Department resources
• Reports on key operational and substantive metrics for the Department that will better inform decision-making, including matter and work product analyses
• Identifies and implements Legal Department tools to streamline new or existing practices, as well as manages the design, rollout and training for new systems.

Performs Special Projects at Direction of General Counsel and Other Department Attorneys

• Handles requests of Department attorneys on special projects
• Assists attorneys in drafting of policies, procedures and other written communications
• Performs research and prepares memoranda as requested
• Responsible for Paper and Electronic Records Management and initiates processes to facilitate audit and compliance with Ipsen policies.

Develops and Implements Training Programs Related to Contracting and Other Legal Department Areas

• Serves as primary contact for compliance with contracting policies for all North American affiliates.
• Develops and provides training to all North American affiliate staff related to use of contracting platform, document management and other areas
• Conducts training of employees on contract principles

Collaborates with Finance Department and Corporate Insurance Team to prepare risk management assessments for all liability insurance areas
• Manages cross-departmental due diligence for annual insurance renewals
• Utilizes understanding of Company's business processes and coordinates with senior management to ensure all information provided to broker is accurate and complete

Knowledge/Skills/Abilities Required

B.A or B.S. Required
Minimum of 3 years of experience with legal operations and management in-house or at a law firm
Prior experience developing new processes and policies
Demonstrated ability to independently move projects forward
Success in collaborating cross-functionally and within the Legal Department
Strong experience with technology solutions and defining needs/scope
Excellent analytical, problem-solving, interpersonal and communication skills
Ability to thrive in a fast-paced environment, successfully managing multiple deadlines
