Corporate Counsel, Legal Transactions Group

General Position Summary/Purpose:

As a member of the Legal Transactions Group, Corporate Counsel is responsible for identifying and resolving highly complex and significant legal issues related to pharmaceutical commercial operations, sales and marketing, managed care and market access transactions for compliance with applicable corporate policies and procedures, and a wide range of legal, regulatory and compliance matters, including FDA regulations, False Claims Act, Anti-Kickback Statute, OIG guidance, the PhRMA Code and competition law in connection with product labeling, promotional and non-promotional activities, marketing strategies, sales compensation, government reimbursement, and interactions with healthcare professionals.

The ideal candidate must be energized by working in a complex and fast-paced environment, be able to quickly understand and support business objectives with creative and strategic approaches, mentor the members of the Legal Transactions Group, all while exercising sound and ethical judgment. Specifically, Corporate Counsel will:

  • Draft, negotiate and interpret a wide range of complex commercial and market access agreements, including master services, consulting agreements, services and distribution agreements and discount agreements with wholesalers, distributors, specialty pharmacies, GPOs, IDNs, PBMs and managed care organization
  • Manage, supervise, support and mentor the legal professionals and staff within the Legal Transactions Group.
  • Develop strategies and provide legal advice to support optimal outcomes for the business.
  • Work cross functionally with various departments to meet business objectives.
  • Assist Pharmacyclics Head of Legal Transactions, Head of Legal and other senior counsels on matters of significant importance.
  • Serve as recognized source, for the business as well as other attorneys, regarding innovative ideas in complex areas of law, business, or technology.
  • Provide significant input in the development and implementation of policies and procedures.
  • In conjunction with various non-legal contracting functions, address and provide legal advice as required.
  • Be committed to meeting patient unmet needs and be energized by rising to new challenges and coming up with creative solutions to serve patients.
  • Be energized by challenging and interesting legal work and novel business problems.
  • Be able to work cross-functionally to develop knowledge to enhance support of business needs.
  • Stay abreast of changes in laws that affect client areas.
  • Be capable of regularly negotiating independently with business partners on matters of strategic importance that affect a substantial portion of the business or matters of significant importance to senior management.
  • Clearly define project objectives with capable management.
  • Identify unmet needs and future legal issues and proactively proposes strategies to optimize outcomes and results for the company and manage risk.
  • Have excellent drafting, negotiation and very clear communication skills.
  • Ability to prioritize and manage multiple projects.


QUALIFICATIONS:

  • 6-8 years of general corporate practice including contract negotiation and drafting.
  • JD required.
  • On a continuous basis, sit at desk for prolonged period of time at company facility to intermittently answer telephone, file/fax/or copy documents, and write or use a keyboard to communicate through written means. Walking and lifting up to 20 pounds may be required. The noise level in the work environment is usually low to moderate.   • Must meet the professional licensing requirement of the state in which they practice.

Experience with pharmaceutical/biotech companies and/or academic institutions is preferred, but not required, and educational background in applicable scientific field is a plus.
