Description

The Senior Manager, Stock Administration is responsible for managing Portola’s equity incentive plans and employee stock purchase plan.

 Responsibilities: 

  • Administer the Employee Stock Purchase Plan, the company’s equity incentive plans and inducement plan, maintain E*TRADE participant data and transfer agent administration
  • Manage the overall equity transaction process including option exercises initiated in the E*TRADE platform, restricted stock unit releases, ESPP purchases, monthly grant processing, performance grant tracking and releases, ISO and ESPP disposition maintenance, etc.
  • Oversee the stock administration platform and maintain the E*TRADE Client Resource Center (CRC) module
  • Partner with the Accounting and Legal teams on ongoing grant activities, quarterly and year-end financial filings, equity SOX narrative, proxy reporting, 10b5-1 trading plan activities and Form 4 filing or regulatory needs
  • Act as the internal equity expert and educate employees on questions relating to equity and ESPP including general company-wide program communications
  • Establish and maintain periodic reconciliation and validation procedures for equity grant processes, ESPP enrollment, plan activities and roll-forward reports, transfer agent activities, and W2 income audit for equity transactions
  • Complete year-end reporting needs including Section 6039 reporting for ISO exercises and ESPP purchases (Form 3921 & 3922), W2 income reporting, 1099-Misc on equity income reporting and Year-end Statement of Taxable Income to be provided to participants

Requirements: 

  • 8 to 12 years of experience in stock administration
  • Bachelor’s degree in Accounting or Finance preferred
  • Life science (pharmaceutical, biotech or CRO) experience strongly preferred
  • Must possess strong finance skills, analytical ability, and solid business acumen
  • Ability to work independently, prioritize work, and handle simultaneous assignments under tight deadlines in a fast-paced environment
  • Demonstrated ability to work collaboratively across organizations and utilize resources effectively
  • Excellent verbal and written communication skills
  • Strong attention to detail and sense of urgency in completing transactions in a timely manner
