Responsible for assisting with SEC, corporate governance, contract review and approval, and assisting the legal department on other matters that may arise. In addition, the individual in this role will work closely with multiple attorneys, other members of the Legal Department and business clients providing legal support for a wide array of corporate transactions. This individual will also perform minimal administrative support to the VP and General Counsel.

  • Organize and maintain records for general corporate matters.
  • Support the preparation of SEC documents, including D&O questionnaires, the proxy statement, annual, quarterly and current reports (i.e., 8-Ks and similar filings).
  • Liaison with Transfer Agent, DTC and financial printer in connection with SEC filings and shareholder meeting, as applicable.
  • Assist with due diligence activities and document organization or debt & equity offerings, M&A and business development transactions.
  • Assist with preparations related to Board, Board committee and shareholder meetings, including uploading presentation materials to the Diligent Portal. Maintain corporate minute books, governance policies and committee charters.
  • Assist with trading window compliance.
  • Assist with ad hoc and special projects, as needed.
  • Assist with litigation, including securities matters, as well as government inquiries and investigations, and responding to subpoenas
  • Assist with collection of relevant information and documents relating to such matters
  • Interacts professionally and communicates effectively with internal stakeholders and all professional contacts, including outside counsel and third party vendors, with an emphasis on supporting company objectives.
  • Administration and business ownership of contract database, including organization and supervision of all Company contracts and other significant documents and ongoing tool enhancements to support efficiency in contract administration.
  • Monitor contract database to ensure internal and customer/vendor compliance with all contractual and documentation protocols.
  • Develop, implement and lead continuing education training program for internal business partners on company policy and contract approval process
  • Work with legal attorneys, compliance and other business functions to ensure templates are in compliance with legal requirements and best practices
  • Process Board of Pharmacy and Secretary of State filings on a timely basis.

  • Independently prioritize and accomplish multiple tasks within established timeframes.
  • Perform other administrative duties as assigned.


  • Bachelor's degree or certificate of completion from a paralegal association approved by the ABA.
  • A minimum of 7 years of prior experience in a corporate setting
  • Experience working in fast-paced legal environment with proven ability to prioritize and multi-task
  • Notary preferred

  • Ability to collaborate and function well in a team environment

  • Ability to exercise independent judgment with knowledge of the pharmaceutical industry

  • Demonstrated experience managing document databases and contract management systems
  • Excellent written, verbal communication and organizational skills
  • Experience in creating and implementing training programs
  • Must be able to prioritize and often handle multiple tasks simultaneously, while maintaining attention to deadlines
  • Precise attention to detail a must
  • Proficient in all MS Office Applications, intermediate to advanced Excel knowledge
  • Self-starter, with strong interpersonal and customer service skills
