Rocket Pharmaceuticals Announces Pricing of Public Offering of Common Stock - September 13, 2023

CRANBURY, N.J.--(BUSINESS WIRE)-- Rocket Pharmaceuticals, Inc. (NASDAQ: RCKT), a leading late-stage biotechnology company advancing an integrated and sustainable pipeline of investigational genetic therapies for rare childhood disorders with high unmet need, announced today the pricing of an underwritten public offering of (i) 7,812,500 shares of its common stock at a public offering price of $16.00 per share and (ii) to certain investors, pre-funded warrants to purchase 3,126,955 shares of common stock at a price of $15.99 per pre-funded warrant, which represents the per share public offering price for the common stock less the $0.01 per share exercise price for each such pre-funded warrant. The gross proceeds to Rocket from the offering, before deducting underwriting discounts and commissions and offering expenses, are expected to be approximately $175 million. All shares and pre-funded warrants in the offering are to be sold by Rocket. In addition, Rocket has granted the underwriters a 30-day option to purchase up to an additional 1,640,918 shares of its common stock. The offering is expected to close on or about September 15, 2023, subject to customary closing conditions.

J.P. Morgan, Morgan Stanley, Leerink Partners and TD Cowen are acting as joint book-running managers, and LifeSci Capital is acting as lead manager for the offering.
