Med-Emerg International Inc. Announces An Amendment To Its Previously Disclosed Letter Of Intent With Global Healthcare Workforce Limited (GHW) To Acquire 100% Of GHW In US$5 Million Transaction

TORONTO, April 22 /PRNewswire-FirstCall/ -- Med-Emerg International Inc. (OTC BB: MDER- MDERW) announced today it has amended its letter of intent with Global Healthcare Workforce Limited ("GHW") of London, UK, extending the closing date to not later than May 31, 2004, unless further extended by GHW. As previously announced, pursuant to the letter of intent, MDER will acquire 100% of the outstanding shares of GHW in exchange for common stock equal to 75% of the then outstanding equity of MDER.

All other terms and conditions of the letter of intent remain unchanged.

MEII specializes in the coordination and delivery of emergency and primary health care related services in Canada. These services include physician and nurse staffing and recruitment, clinical management services, the development and management of urgent care centres, a national drug infusion program, and national and international healthcare advisory and consulting services.

GHW was incorporated in April 2003. Its principal shareholders, Koby Ofek, Michael Sinclair and Sidney Braun, have extensive staffing experience. Dr. Sinclair has been involved in several healthcare staffing companies in North America and the UK. Dr. Sinclair was Chairman and the largest individual shareholder of Lifetime Corporation, a NYSE listed company. Mr. Ofek is a 20-year veteran of the recruitment and staffing industry and an owner and manager of such businesses since 1986. Mr. Ofek is the Chairman of Oz Atid International Ltd.
