Omnicell Announces Departure Of CFO Dennis Wolf; Long-Time Sun Microsystems Financial Professional To Be Named Interim CFO

MOUNTAIN VIEW, Calif., Feb. 22 /PRNewswire-FirstCall/ -- Omnicell, Inc. today announced that Dennis P. Wolf will step down as executive vice president and chief financial officer, effective April 4, 2005. The company also is pleased to announce it has hired James T. Judson as vice president of finance, who will serve as interim CFO after Wolf's departure. Omnicell has commenced an aggressive nationwide search for Wolf's replacement, during which time both Wolf and Judson will assist in the new CFO search and ensure an orderly transition of responsibilities.

"Dennis was instrumental in assisting Omnicell in a difficult transition as a public company and achieving consistent growth during his tenure," said Omnicell Chairman, President and CEO Randall A. Lipps. "In January, we announced organizational changes that would more fully integrate our operational groups, but those changes also separated certain operational functions from Dennis' duties as an executive vice president and CFO. As a result, Dennis has decided to move on in his career, but we are grateful for his contributions and guidance and wish him success in his future endeavors."

Judson comes to Omnicell with over 20 years of financial management experience, most of it with Sun Microsystems, Inc. From 1998 to 2001, he served as vice president of finance and planning for Sun's worldwide operations group, and prior to that, held various senior director of finance and controller positions across the computer hardware, software and services giant. Jim earned an M.B.A. degree in finance from Indiana University and a B.S. degree in industrial management from Purdue University. Judson brings extensive experience in leading organizational strategic planning and establishing processes to improve operational excellence and predictability.

"I look forward to working with Jim and am confident that his experience and solid judgment will ensure a smooth transition for the company," added Lipps.
