ARCA biopharma Announces Pricing of $9 Million Public Offering of Common Stock and Warrants
WESTMINSTER, Colo.--(BUSINESS WIRE)-- ARCA biopharma, Inc. (ABIO), a biopharmaceutical company developing genetically-targeted therapies for cardiovascular diseases, today announced that it has priced its previously announced public offering of common stock and warrants at a price of $1.70 for each share of common stock and a related warrant to purchase 0.25 shares of common stock, for gross proceeds of $8.7 million, prior to deducting underwriting discounts and commissions and offering expenses of the Company. The purchase price represents a 9.6% discount to the closing price of the Company’s common stock on the Nasdaq Capital Market on February 3, 2014. The warrants are immediately exercisable, have a term of 5 years and an exercise price of $2.125 per share. The offering is expected to close on or about February 7, 2014, subject to the satisfaction of customary closing conditions.
The Company intends to use the net proceeds of the offering for general corporate purposes, including working capital and operational purposes. The Company anticipates that its cash and cash equivalents balance of approximately $16.8 million at December 31, 2013, along with the estimated net proceeds from this offering, will be sufficient to fund its operations, at its projected cost structure, through at least 2015. However, changing circumstances may cause the Company to consume capital significantly faster or slower than it currently anticipates. The Company has based these estimates on assumptions that may prove to be wrong, and the Company could exhaust its available financial resources sooner than it currently anticipates.
