ST. PAUL, MN--(Marketwire - October 04, 2012) - EnteroMedics Inc. (NASDAQ: ETRM), the developer of medical devices using neuroblocking technology to treat obesity, metabolic diseases and other gastrointestinal disorders, today announced that it has obtained a committed issuer managed equity financing facility under which it may from time to time sell up to $45 million of its registered common stock to Terrapin Opportunity, L.P., over a 24-month period. EnteroMedics is not obligated to utilize any of the $45 million facility and remains free to enter into and consummate other equity and debt financing transactions, subject to certain restrictions.
"This facility, combined with EnteroMedics' $27.8 million in cash, cash equivalents, restricted cash and short-term investments as of June 30, 2012, provides us with access to additional capital as the Company prepares for the unblinding of the ReCharge Study at the end of 2012 and our anticipated commercialization efforts in 2013," said Greg S. Lea, Senior Vice President and Chief Financial Officer of EnteroMedics.
EnteroMedics will determine, at its sole discretion, the timing, the dollar amount and the floor price per share of any draw under the facility, subject to certain conditions. Any shares sold under this facility will be sold pursuant to a shelf registration statement declared effective by the Securities and Exchange Commission on August 29, 2012. There are no warrants associated with this facility.
