Senior Counsel

Main Duties and Responsibilities

Typical role title is Senior Counsel. Reporting to a DGC, AGC or Legal Director, the Senior Counsel works independently under supervision, ensuring all legal requirements are identified in the assigned SET area, area of legal practice or geography, and managing legal risks of high impact to the business. Could report to the head lawyer in a larger Marketing Company or could be head lawyer in a smaller Marketing Company.

  • Manages the delivery of legal advice and services to the assigned AstraZeneca client area and/or in assigned business area
  • Closely aligns with senior AstraZeneca client leaders, typically at Senior Executive Team (SET) level
  • Represents the legal issues associated with the assigned areas at the highest levels in AstraZeneca
  • Identifies and manages present and potential legal risks in the assigned areas, including legal risks associated with the implementation of strategic initiatives
  • Aggressively manages internal and external resources to meet budget requirements
  • Focuses on delivering the appropriate level of service, from internal and external resources, at the lowest possible cost
  • Personally handles complex legal matters and innovative business arrangements
  • Ensures collaboration with other Legal support areas to ensure a seamless service to clients
  • Handles special projects assigned by the Deputy General Counsel

Requirements

Essential Requirements

  • Law degree and professional legal qualification
  • Substantial legal practice experience with a broad range of commercial and corporate matters
  • Working knowledge of laws relating to assigned areas
  • Strong leadership capabilities
  • Experience directing the legal work of lawyers and other staff
  • Able to provide legal support for U.S.-based and certain global licensing, business development, and operations transactions
  • Able to provide legal transactional support, including advice and counsel, through all phases of transactions, including due diligence, transaction structuring, term sheet development, contract drafting, negotiation, closing, and alliance management, including dispute resolution and identifying best practices
  • Able to provide leadership as a core member of deal teams comprised of business development and operations professionals, together with representatives from other relevant functions
  • Excellent interpersonal and communication skills
Desirable Requirements
  • Pharmaceutical experience
  • Prior experience working in-house
  • Understanding of manufacturing and supply chains
  • Comfortable working in a global legal environment
  • Skill in analyzing and solving issues related to a wide variety of substantive legal areas
