Job Description

Jounce seeks a corporate and securities counsel to join its Legal Department reporting directly to the Senior Vice President of Legal.  This position offers the opportunity to become a key member of the Jounce legal team, working in a fast-paced, high energy environment, where initiative, creative thinking and collaboration are valued.

Preparing and filing of all SEC filings, including periodic and current reports, proxy statements, Section 16 reports and confidential treatment requests in collaboration with internal and external accounting and legal teams
Responsible for corporate governance, ethics and compliance matters, including overseeing various corporate policies, preparing the materials for board and committee meetings, and managing the board minute books
Providing legal advice in connection with disclosure matters, including investor presentations, press releases, and other corporate internal and external communications
Coordinating stock option and equity programs in conjunction with Finance department
Preparing, reviewing and negotiating a diverse range of agreements common to the biotechnology industry, including services agreements, confidentiality agreements, material transfer agreements, consulting agreements, clinical trial agreements, HR  agreements, license agreements, benefits-related agreements and employment agreements
Providing advice in a wide array of practice areas and special projects as needed
Keep up-to-date of industry related laws and regulations to help identify changes and incorporate into or help create policies and procedures based on such development

Requirements

JD from an accredited law school and admitted to practice in Massachusetts or other U.S. state
6-8 years of relevant experience in-house or with a national law firm; experience with high growth public biotechnology companies strongly preferred; in-house experience is a plus
Strong knowledge in securities laws and experience advising clients regarding compliance
Significant experience in board and corporate governance matters
Ability to quickly and effectively prioritize, review and negotiate agreements in the context of business circumstances, and to provide advice that recognizes and integrates legal risk, business objectives and leverage
Ability to interact and communicate effectively with individuals from multiple departments and disciplines at all levels of the organization
Strong attention to detail and proactive approach
Excellent verbal and written communication skills
Skilled  at providing practical legal and business advice regarding a wide variety of issues
Track record of working as a “team player” within a legal group to support departmental success and foster collaborative environment
