SUMMARY:
This Temporary Attorney II will assist senior attorneys in Exelixis’ legal department in providing legal support to the Development organization in support of all of Exelixis’ global clinical trial activities.  

ESSENTIAL DUTIES AND RESPONSIBILITIES:
• Draft, review, revise, and negotiate a wide range of commercial contracts for the Development organization such as clinical trial agreements (especially agreements with sites ex-U.S. such as EU and APAC), CRO agreements, change orders, various vendor services agreements, master agreements, consulting agreements, and confidentiality agreements.  
• Review other clinical trial-related documents such as informed consent forms, general legal correspondence, and privacy documents.
• Work with CROs to manage the review and approval process for ex-U.S. agreements and various other country-specific documents.
• Function as part of the team that provides legal support to the Development organization for the all of their global clinical development activities with primary focus on the conduct of the Company’s clinical trials.  
• Define risks and be able to communicate those risks to appropriate internal decision-makers for discussion and resolution.  
• Interact with internal clients as needed to address any business questions that arise.
• Handle miscellaneous legal tasks on an as needed basis under direction of senior attorneys.  

Requirements

EDUCATION/EXPERIENCE/SKILLS:  

Education:
• J.D., Graduation from an accredited law school.
• Admission to a state bar (preferably CA) and active license to practice law required.

Experience:
• A minimum of (3) years relevant industry and/or law firm experience.  
• Experience at a pharmaceutical or biotechnology company preferred.  
• Experience with life science transactions required (especially in the areas of contracting with academic institutions and global clinical sites).

Knowledge/Skills/Abilities:
• Excellent verbal and written communication skills, must be an effective communicator with strong interpersonal skills
• Strong organizational (detail oriented) and ability to keep track of voluminous documents and their review/completion status.
• Ability to handle multiple tasks, prioritize appropriately and adapt quickly to new situations.
• Must be responsible, conscientious, and professional
• Ability to work under intense pressure to meet specific deadlines
• Ability to work independently and also be a team player
• Must be able to exercise common sense in carrying out tasks
• Dedication to quality and the highest professional standards
• Must be a self-starter and quick learner
• Must have good judgment
• Strong computer skills (e.g., Microsoft Office Suite (Word, Exel, PowerPoint, etc.), Deltaview, Internet)
