The terms of the LOI include digiMedical reselling its proprietary Microsoft-based digiRX and digiReauth services in Guardian's existing markets and driving prescription traffic to Guardian's local, company-owned pharmacies. In return, digiMedical will receive a portion of sales from prescriptions that are fulfilled in Guardian pharmacies located throughout Oklahoma and Texas.
