Sunesis Pharmaceuticals, Inc. Prices $15.5 Million Offering

SOUTH SAN FRANCISCO, CA--(Marketwire - October 01, 2010) - Sunesis Pharmaceuticals, Inc. (NASDAQ: SNSS) announced today the pricing of an underwritten offering of approximately 44.1 million units, each consisting of one share of its common stock and a warrant to purchase 0.5 of a share of its common stock, at a public offering price of $0.35 per unit, for gross proceeds of approximately $15.5 million. The net proceeds from this offering are expected to be approximately $14.3 million, after deducting the underwriting discount and estimated offering expenses payable by Sunesis. The offering is expected to close on or about October 6, 2010, subject to customary closing conditions. The warrants will become exercisable six months after issuance at an exercise price of $0.42 per share, and will expire five years from the date of issuance. The shares of common stock and warrants are immediately separable and will be issued separately.

Cowen and Company, LLC is acting as the sole lead underwriter and ThinkEquity LLC is acting as co-underwriter in this offering. Sunesis anticipates using the net proceeds from the offering for funding VALOR, the planned pivotal Phase 3 clinical trial of vosaroxin in combination with cytarabine in patients with relapsed or refractory acute myeloid leukemia, and for working capital and general corporate purposes.
