SAN DIEGO--(BUSINESS WIRE)--Somaxon Pharmaceuticals, Inc. (Nasdaq: SOMX) today announced that it has priced an underwritten public offering of 6,000,000 shares of its common stock at a price to the public of $8.25 per share. The net proceeds from the sale of the shares, after estimated underwriting discounts and commissions and estimated offering expenses, are expected to be approximately $45.9 million. The offering is expected to close on or about March 31, 2010, subject to customary closing conditions.
Jefferies & Company, Inc. is acting as sole book-running manager in the offering. The co-manager in the offering is Oppenheimer & Co. Somaxon has granted the underwriters an option for a period of 30 days to purchase up to an additional 900,000 shares of common stock to cover overallotments, if any.
