Prestige Brands, Inc. to Buy Rival Blacksmith Brands for $190 Million, Boost OTC Presence

IRVINGTON, NY, Sep 20, 2010 (MARKETWIRE via COMTEX) -- Blacksmith Brands Holdings, Inc. ("Blacksmith"), a portfolio company of Charlesbank Capital Partners ("Charlesbank"), announced today that it has entered into a definitive agreement with Prestige Brands Holdings, Inc. /quotes/comstock/13*!pbh/quotes/nls/pbh (PBH 8.50, +0.68, +8.70%) to sell 100% of the Blacksmith shares to Prestige. The purchase price will be $190 million plus an anticipated adjustment for excess working capital. The transaction is subject to clearance under the Hart-Scott-Rodino Act of 1976 and is expected to close in November 2010.
Blacksmith Brands was formed in 2009 by industry veteran Peter Mann, private equity professional Dana Schmaltz and Charlesbank in order to acquire a group of consumer health-care brands from Johnson & Johnson. Those brands include Efferdent Denture Cleanser(R), Effergrip Denture Adhesive(R), Luden's Throat Drops(R), PediaCare(R) Infant & Children's cough/cold/allergy remedies, and NasalCrom(R) Allergy Spray. Blacksmith has since launched a variety of new items, many under the PediaCare brand. During the past year, the company has also invested in increased levels of advertising and promotion behind all brands, meaningfully expanded retail distribution, and created a large new product-development pipeline. As a result of such efforts, Blacksmith's revenues and operating profits have grown sharply.
