Boston Therapeutics, Inc. Announces Filing of S-1 Registration Statement

MANCHESTER, NH--(Marketwire - September 24, 2012) -

Boston Therapeutics, Inc. (OTCQB: BTHE) ("Boston Therapeutics" or "the Company"), a developer of complex carbohydrate therapeutics to treat diabetes and inflammatory diseases, today announced it has filed an S-1 registration statement with the Securities and Exchange Commission relating to a proposed offering of up to 20 million new shares of its common stock and up to 10 million warrants to purchase additional shares of common stock. The price for the shares of common stock to be offered is $0.50. For every two shares of common stock, the Company will issue a warrant to purchase one share of common stock with an exercise price of $1.00 with a five-year term.

The Company plans to use the proceeds from this offering to fund its research and development activities, for working capital and other general corporate purposes.

The offering will be made only by means of a prospectus supplement and accompanying prospectus filed with the Securities and Exchange Commission (SEC).
