The early termination of the waiting period under the HSR Act satisfies one of the conditions for consummation of the transaction. The transaction, which was announced on March 26, 2012, is expected to close during the second quarter of 2012 and remains subject to certain other closing conditions, including approval by ISTA's stockholders.
