AtheroNova Inc. Prices Public Offering Of Common Stock And Warrants

IRVINE, Calif., Oct. 28, 2014 /PRNewswire/ -- AtheroNova Inc. (OTCBB: AHRO), a biotech company focused on the research and development of compounds to safely regress atherosclerotic plaque and improve lipid profiles in humans, today announced the pricing of an underwritten public offering of 4,000,000 shares of its common stock and warrants to purchase up to an aggregate of 5,000,000 shares of its common stock, with each share of common stock being sold together with 1.25 warrants to purchase one share of common stock. The securities are offered at a price to the public of $0.75 per share of common stock and $0.01 per warrant. The warrants will have an exercise price of $4.00 per share, subject to adjustment, and are exercisable immediately and will expire 5 (five) years from the date of issuance. The gross proceeds from this offering to AtheroNova are expected to be $3,050,000, before deducting underwriting discounts and commissions and estimated offering expenses payable by AtheroNova. AtheroNova has granted the underwriters a 45-day option to purchase up to an additional 600,000 shares of its common stock and/or warrants to purchase up to an aggregate of 750,000 shares of its common stock. The offering is expected to close on or about October 31, 2014, subject to customary closing conditions. AtheroNova intends to use the net proceeds from the offering, as well as its other existing capital resources, for general corporate purposes, including working capital, operating expenses and capital expenditures.

Aegis Capital Corp. is acting as the sole book-running manager for the offering.

Merriman Capital is acting as co-manager for the offering.
