Amedica Corporation, US Spine Announces the Election of Lewis H. Ferguson, III to its Board of Directors

SALT LAKE CITY, Nov. 23, 2010 /PRNewswire/ -- Amedica/US Spine has elected Lewis H. Ferguson, III to its Board of Directors.

Mr. Ferguson is a partner of Gibson, Dunn & Crutcher, LLP Washington, D.C., a 1,000 member international law firm specializing in securities and accounting law. The firm represents corporations and Boards of Directors in corporate transactions, regulatory matters, SEC filings and enforcement proceedings before government agencies.

Mr. Ferguson was the first general counsel of the PCAOB (Public Company Accounting Oversight Board) that is chartered by the U.S. Congress as part of the Sarbanes-Oxley Act of 2002. He recruited and led the staff of professionals who advise on all aspects of the Board's operations, including the creation of the Board's rules and procedures dealing with registration, inspection and investigation of registered auditing firms.

Prior to joining Gibson, Dunn & Crutcher, Mr. Ferguson was a partner with Williams and Connolly, LLP - Washington, D.C., specializing in corporate and business law, securities, mergers and acquisitions, financing and restructuring transactions. He also was senior vice president, director and general counsel for Wright Medical Technology, Inc.

Mr. Ferguson received a B.A. in Politics and Economics from Yale College, a B.A. and M.A. from King's College, Cambridge University, Cambridge, England, and a J.D. from Harvard Law School (Harvard Law Review). He completed his judicial clerkship with the Hon. Frank J. Murray, U.S. District Judge, Boston, Mass. in 1972. Mr. Ferguson also was an adjunct professor of Tax and Business Planning at Georgetown University Law Center in Washington, D.C. He is a frequent speaker at professional conferences concerning accounting, auditing, securities law and corporate governance issues. He also is the author of several papers and articles on the same subjects. Mr. Ferguson serves on a number of other Boards in the medical industry.
