STATEMENT REGARDING THE OFFER
The Board of Alere would like to remind Axis-Shield Shareholders to accept the Offer of 460 pence per Axis-Shield Share in cash immediately, as it will remain open only until 1.00 p.m. (London time) (corresponding to 2.00 p.m. (Oslo time)) on 10 October 2011.
Should the number of valid acceptances required to be received in respect of the Offer (together with the number of shares in which Alere AS Holdings is interested) carry, in aggregate, more than 50 per cent. of the voting rights normally exercisable at general meetings of Axis-Shield, then it is Alere's intention to declare the Offer unconditional as to acceptances. As at the date of this announcement, Alere AS Holdings holds 14,950,000 Axis-Shield Shares, representing approximately 29.9 per cent. of the current issued share capital of Axis-Shield.
In the event that the Offer is not declared unconditional as to acceptances by 10 October 2011, it will lapse and, under the rules of the City Code, Alere would not be permitted to make another offer for Axis-Shield for a minimum period of twelve months, except with the consent of the Takeover Panel and as otherwise permitted by the City Code. Alere would also like to remind shareholders that there is no certainty that another offer for Axis-Shield would be made by Alere in the future, should the Offer lapse. Alere will, as Axis-Shield's largest individual shareholder, expect the Board of Axis-Shield, subject to its general fiduciary and regulatory duties and obligations, actively to inform and consult with Alere as it would any other strategic shareholder.
Alere also notes Axis-Shield's announcement of 30 September 2011 which stated that, amongst other things, a third party offeror had withdrawn from discussions with Axis-Shield and stated that it had no current intention to make an offer, as a result of the fact that Alere is now the single largest shareholder in Axis-Shield. Alere believes it would be unlikely that another potential bidder would now announce an intention to make an offer for Axis-Shield, given Alere's significant shareholding and its ability, as a consequence, to block any special resolutions as well as to prevent any potential bidder being able to acquire a shareholding in Axis-Shield greater than 70.1 per cent.
Against a backdrop of sustained market uncertainty, Alere believes the Offer provides Axis-Shield shareholders the opportunity to crystallise the value of their investment at a premium valuation of 460 pence per Axis-Shield Share. Alere encourages Axis-Shield Shareholders to accept the Offer immediately and, in any event, by no later than 1.00 p.m. (London time) (corresponding to 2.00 p.m.Oslo time) on 10 October 2011, to benefit from the Offer.
