SAIC Signs Agreement To Acquire Geo-Centers, Inc.

SAN DIEGO, Aug. 23 /PRNewswire/ -- Science Applications International Corporation (SAIC) today announced that it has signed a definitive agreement to acquire GEO-CENTERS, INC. and its subsidiaries EAI Corporation and FOCIS Associates, Inc.

"I believe the combination of our existing human resources, expertise and market presence blended with SAIC's breadth of resources and technical diversity will provide increased opportunities for growth of our employees and organization, while allowing us to continue focusing on problems of national significance," said Ed Marram, founder, chairman and chief executive officer of GEO-CENTERS.

"This acquisition gives us the opportunity to enhance the level of services and solutions we offer our customers in the area of homeland security and defense," said Ken Dahlberg, SAIC chairman and chief executive officer. "We look forward to building on the long-standing client relationships GEO- CENTERS has established and are pleased to welcome its employees to the SAIC team."

The transaction is expected to close in September 2005, subject to customary closing conditions, including expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act.

Based in Newton, Mass., GEO-CENTERS is a leading engineering and professional services firm, providing research and development for chemical and biological detection, infrastructure assessment and protection, life science research, rapid response equipment and support, and sensor systems and integration. Customers include the Department of Homeland Security (DHS), the Department of Defense, as well as state and local governments and agencies.

The company also develops training course materials and trains first responders at the DHS Center for Domestic Preparedness and provides preparedness and response services and products to government and private industry clients.
