(Nasdaq:TLRK - News) today announced that its previously noticed annual meeting of stockholders has been postponed indefinitely. Tularik postponed the annual meeting, originally scheduled for Tuesday, April 20, 2004, in light of the recently announced proposed merger of Tularik with a wholly-owned subsidiary of Amgen in a stock-for-stock transaction. In place of its annual meeting, Tularik intends to hold a special meeting of stockholders for the purpose of considering and voting upon a proposal to approve the merger agreement and merger. The date of the special meeting will be determined subsequent to the parties' requisite filings with the Securities and Exchange Commission (SEC) and completion of any SEC review. Tularik's annual meeting of stockholders will only be held in the event the merger is not approved or otherwise does not occur, in which case a new date for the annual meeting will be announced.
Tularik is engaged in the discovery and development of a broad range of novel and superior orally available medicines that act through the regulation of gene expression. Tularik's scientific platform is focused on three therapeutic areas: cancer, inflammation and metabolic disease. Tularik currently has five drug candidates in clinical trials.
